Fee Adjustment for BVI New Incorporations in 2025

In response to the just announced Amendment of BVI Business Companies Act, 2024, which has introduced new filing requirements for BVI business companies, now we have to set up relevant fling fees as follows:

  • For filing an initial copy of a register of members for registration by the Registrar: US$100, must be filed within 30 days of Incorporation. Late filing will be subject to government penalty. The additional information on all nominee shareholders if any is also required to file for the register of members.

 

  • For filing beneficial ownership information for registration by the Registrar: US$200, must be filed within 30 days of Incorporation. Late filing will be subject to government penalty.

As a result, the total US$300, effective from now on, shall be added on top of the usual invoice to you for each new incorporations in year 2025.

Further if any change in register of members or in register of beneficial ownership information, the subsequent filing fee will be charged as follows:

  • For filing registration of change in register of members: US$175, must be filed within 30 days of change. Late filing will be subject to government penalty.

 

  • For filing registration of change in register of beneficial ownership information: US$225, must be filed within 30 days of change. Late filing will be subject to government penalty.

Please be also noted, for your new BVI companies incorporated on or after 2 January 2025, the timeframe for appointing the first director(s) has been reduced from six months to 15 days after incorporation. The time for initial copy of a company’s register of directors to be filed for registration by the Registrar has been shortened from 21 days to 15 days after the date of appointment of the first director(s). Late filing will be also subject to government penalty.
